1. Agreement to Terms
By accessing or using SolidX ("the Platform"), operated by Logicloop Ventures Limited ("Company," "we," "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform.
2. License & Usage Rights
SolidX is licensed under the Business Source License 1.1 (BSL 1.1). The source code is publicly available on GitHub.
Community License: Individuals and organizations with total annual revenue (including funding) of less than $1,000,000 USD may use SolidX free of charge for any purpose, including commercial production use.
Enterprise License: Organizations with total annual revenue (including funding) of $1,000,000 USD or more must obtain a commercial Enterprise License before using SolidX in production. Contact our sales team for licensing.
Generated Code: All code generated by the SolidX platform belongs to the user. There is no runtime dependency on SolidX, and generated output can be freely modified, deployed, and distributed.
3. Production Use
"Production use" is defined as any use of the SolidX platform other than development, debugging, evaluation, or testing of your offerings. Making the platform available in unmodified object code form for others to self-host is not considered production use.
4. Permitted Modifications
You may fork, modify, and create derivative works of the SolidX source code for your own internal use, subject to the license terms. You may not redistribute modified versions of the SolidX platform as a competing product or service without a separate agreement.
5. License Eligibility & Compliance
You are responsible for accurately determining whether your organization qualifies for the Community License based on the $1,000,000 USD annual revenue threshold. Revenue includes all forms of income and funding received by the organization and its affiliates.
If your organization's revenue exceeds the threshold at any point, you must obtain an Enterprise License before continuing production use. We reserve the right to verify eligibility and revoke Community License access in cases of misrepresentation.
6. Intellectual Property
The SolidX platform, including its design, architecture, documentation, and branding, is the intellectual property of Logicloop Ventures Limited. The BSL 1.1 license grants usage rights - not ownership.
Code generated by the platform using your metadata and configurations is your intellectual property.
7. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LOGICLOOP VENTURES LIMITED DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOGICLOOP VENTURES LIMITED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR USE OF THE PLATFORM.
9. Privacy
SolidX is a self-hosted platform and does not transmit any of your data to Logicloop Ventures Limited. Your data stays entirely on your own infrastructure. We do not collect, store, or sell personal data through the platform.
10. Changes to Terms
We may update these Terms of Service from time to time. Material changes will be communicated via our website or GitHub repository. Continued use of the Platform after changes constitutes acceptance of the updated terms.
11. Governing Law
These terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Logicloop Ventures Limited is incorporated, without regard to its conflict of law provisions.
